Robinhood is now a stonk

Update: Trading of Robinhood shares has been halted due to volatility. The company’s stock paused at $65.60 on Robinhood itself. Yahoo Finance has a higher $77.03 price on the company’s equity, up a stunning 64.59% today. Things are fluid, but Robinhood may have been halted and then rose again when it resumed trading. Stonks indeed.

Shares of Robinhood, an investing-focused consumer fintech company, soared this morning in premarket trading. The stonk phenomenon, which helped propel minor companies like GameStop and AMC earlier this year, appears to be impacting Robinhood’s own stock; that much GameStop and AMC trading took place on Robinhood’s platform during stonk-fever is irony not lost on this publication.

Here’s what things look like this morning, per Yahoo Finance:

Recall that Robinhood went public at $38 per share, the low end of its range, and sank in its early trading sessions to below its IPO price. Now, it’s worth $54 per share.

Cool.

Normally we’d crack a joke and close this small news item here, but with Robinhood’s IPO featuring a unique twist on the traditional public offering, we have to do a bit more work. When it went public, Robinhood reserved a chunk of its equity for purchase by its own users. The impact of this was that more retail investors likely owned Robinhood equity at the start of its trading life than would be normal with a traditional IPO.

One hypothesis regarding Robinhood’s somewhat slack early trading performance was that early retail demand for its shares was sated by its effort to allow its users to buy stock in its shares, leading to a less-skewed supply/demand curve when it debuted.

Things have changed. What’s going on? Last week, an analyst put a $65 per share price target on the stock. And there are a handful of other ratings to chew on. But the wild swing in the price of Robinhood today appears from our vantage point to be another stonk moment. The stock is being traded like a short-squeeze, even if some market participants are skeptical of the idea due to what they view as a limited short interest in the company.

Checking the Robinhood IR page, there’s no news. Robinhood did not recently report earnings. And the company’s recent 606 filings that deal with PFOF incomes seemed to match up with expectations in revenue terms regarding what the company detailed in its Q2 2021 flash numbers. Perhaps there was more crypto in there than expected, but nothing truly wild.

It appears that Robinhood is simply going up because it is. This happens in 2021; we just have to get used to it.

But what matters most for our purposes is that Robinhood’s decision to sell some IPO stock to its users did not manage to create so much float for the now-public unicorn to diminish weird trading. You can go public in an unusual manner and still catch a stonk wave. Now we know.

Datasaur snags $3.9M investment to build intelligent machine learning labeling platform

As machine learning has grown, one of the major bottlenecks remains labeling things so the machine learning application understands the data it’s working with. Datasaur, a member of the Y Combinator Winter 2020 batch, announced a $3.9 million investment today to help solve that problem with a platform designed for machine learning labeling teams.

The funding announcement, which includes a pre-seed amount of $1.1 million from last year and $2.8 million seed right after it graduated from Y Combinator in March, included investments from Initialized Capital, Y Combinator and OpenAI CTO Greg Brockman.

Company founder Ivan Lee says that he has been working in various capacities involving AI for seven years. First when his mobile gaming startup Loki Studios was acquired by Yahoo! in 2013, and Lee was eventually moved to the AI team, and, most recently, at Apple. Regardless of the company, he consistently saw a problem around organizing machine learning labeling teams, one that he felt he was uniquely situated to solve because of his experience.

“I have spent millions of dollars [in budget over the years] and spent countless hours gathering labeled data for my engineers. I came to recognize that this was something that was a problem across all the companies that I’ve been at. And they were just consistently reinventing the wheel and the process. So instead of reinventing that for the third time at Apple, my most recent company, I decided to solve it once and for all for the industry. And that’s why we started Datasaur last year,” Lee told TechCrunch.

He built a platform to speed up human data labeling with a dose of AI, while keeping humans involved. The platform consists of three parts: a labeling interface; the intelligence component, which can recognize basic things so the labeler isn’t identifying the same thing over and over; and finally a team organizing component.

He says the area is hot, but to this point has mostly involved labeling consulting solutions, which farm out labeling to contractors. He points to the sale of Figure Eight in March 2019 and to Scale, which snagged $100 million last year as examples of other startups trying to solve this problem in this way, but he believes his company is doing something different by building a fully software-based solution.

The company currently offers a cloud and on-prem solution, depending on the customer’s requirements. It has 10 employees, with plans to hire in the next year, although he didn’t share an exact number. As he does that, he says he has been working with a partner at investor Initialized on creating a positive and inclusive culture inside the organization, and that includes conversations about hiring a diverse workforce as he builds the company.

“I feel like this is just standard CEO speak, but that is something that we absolutely value in our top of funnel for the hiring process,” he said.

As Lee builds out his platform, he has also worried about built-in bias in AI systems and the detrimental impact that could have on society. He says that he has spoken to clients about the role of labeling in bias and ways of combatting that.

“When I speak with our clients, I talk to them about the potential for bias from their labelers and built into our product itself is the ability to assign multiple people to the same project. And I explain to my clients that this can be more costly, but from personal experience I know that it can improve results dramatically to get multiple perspectives on the exact same data,” he said.

Lee believes humans will continue to be involved in the labeling process in some way, even as parts of the process become more automated. “The very nature of our existence [as a company] will always require humans in the loop, […] and moving forward I do think it’s really important that as we get into more and more of the long tail use cases of AI, we will need humans to continue to educate and inform AI, and that’s going to be a critical part of how this technology develops.”

It’s time to better identify the cost of cybersecurity risks in M&A deals

Over the past decade, a number of high-profile cybersecurity issues have arisen during mega-M&A deals, heightening concerns among corporate executives.

In 2017, Yahoo disclosed three data breaches during its negotiation to sell its internet business to Verizon [Disclosure: Verizon Media is TechCrunch’s parent company]. As a result of the disclosures, Verizon subsequently reduced its purchase price by $350 million, approximately 7% of the purchase price, with the sellers assuming 50% of any future liability arising from the data breaches.

While the consequences of cyber threats were soundly felt by Yahoo’s shareholders and widely covered in the news, it was an extraordinary event that raised eyebrows among M&A practitioners but did not fundamentally transform standard M&A practices. However, given the high potential cost from cyber threats and the high frequency of incidents, acquirers need to find more comprehensive and expedient methods to address these risks.

Today, as conversations accelerate around cybersecurity matters during an M&A process, corporate executives and M&A professionals will point to improved processes and outsourced services for identifying and preventing security issues. Despite the heightened awareness among financial executives and a greater range of outsourced solutions for addressing cybersecurity threats, acquirers continue to report increasing numbers of cybersecurity incidents at acquired targets, often after the target has already been acquired. Despite this, acquirers continue to focus due diligence activities on finance, legal, sales and operations and typically see cybersecurity as an ancillary area.

While past or potential cyber threats are no longer ignored in the due diligence process, the fact that data breaches are still increasing and can cause negative financial impact that will be felt long after the deal has closed highlights a greater need for acquirers to continue to improve their approach and address cyber threats.

The current lack of focus on cybersecurity issues can be partially attributed to the dynamics of the M&A market. Most middle-market companies (which constitute the nominal majority of M&A transactions) will typically be sold in an auction process where an investment bank is engaged by the seller to maximize value by fostering competitive dynamics between interested bidders. In order to increase competitiveness, bankers will typically drive a deal process forward as quickly as possible. Under tight time constraints, buyers are forced to prioritize their due diligence activities or risk falling behind in a deal process.

A typical deal process for a private company will move as follows:

  • Selling company’s investment bankers contact potential buyers, providing a confidential information memorandum (CIM), which contains summary information on a company’s history, operations and historical and projected financial performance. Potential buyers are typically given three to six weeks to review materials before deciding to move forward. Unless there is a previously known cybersecurity issue, a CIM will typically not address potential or current cybersecurity issues.
  • After the initial review period, indications of interest (IOI) are due from all interested bidders, who will be asked to indicate valuation and deal structure (cash, stock, etc.).
  • After IOIs have been submitted, the investment banker will work with the sellers to select top bidders. Key criteria that are evaluated include valuation, as well as other considerations such as timing, certainty of closing and credibility of buyer to complete the transaction.
  • Bidders selected to move forward are typically given four to six weeks after the IOI date to drill deeper into key diligence issues, review information in the seller’s data room, conduct a management presentation or Q&A with the target’s management and perform site visits. This is the first stage when cybersecurity issues could be most efficiently addressed.
  • Letter of Intent is due, when bidders reaffirm valuation and propose exclusivity periods wherein one bidder is selected on an exclusive basis to complete their due diligence and close the deal.
  • Once an LOI is signed, bidders typically have 30-60 days to complete the negotiation of definitive agreements that will outline in detail all terms of an acquisition. At this stage, acquirers have another opportunity to address cybersecurity issues, often using third-party resources, with the benefit of investing significant expenses with the greater certainty provided by the exclusivity period. The degree to which third party resources are directed toward cybersecurity relative to other priorities varies greatly, but generally speaking, cybersecurity is not a high-priority item.
  • Closing occurs concurrent with signing definitive agreements, or in other cases, closing occurs after signing often due to regulatory approvals. In either case, once a deal is signed and all key terms are determined buyers can no longer unilaterally back out of a deal.

In such a process, acquirers must balance internal resources to thoroughly evaluate a target with moving quickly enough to remain competitive. At the same time, the primary decision makers in an M&A transaction will tend to come from finance, legal, strategy or operating backgrounds and rarely will have meaningful IT or cybersecurity experience. With limited time and little background in cybersecurity, M&A teams tend to focus on more urgent transactional areas of the deal process, including negotiating key business terms, business and market trend analysis, accounting, debt financing and internal approvals. With only 2-3 months to evaluate a transaction before signing, cybersecurity typically only receives a limited amount of focus.

When cybersecurity issues are evaluated, they are heavily reliant on disclosures from the seller regarding past issues and internal controls that are in place. Of course, sellers cannot disclose what they do not know, and most organizations are ignorant of attackers who may already be in their networks or significant vulnerabilities that are unknown to them. Unfortunately, this assessment is a one-way conversation that is reliant on truthful and comprehensive disclosures from sellers, lending new meaning to the phrase caveat emptor. For this reason, it’s no coincidence that a recent poll of IT professionals by Forescout showed that 65% of respondents expressed buyer’s remorse due to cybersecurity issues. Only 36% of those polled felt that they had adequate time to evaluate cybersecurity threats.

While most M&A processes do not typically prioritize cybersecurity, M&A processes will often focus squarely on cybersecurity issues when known issues occur during or prior to an M&A process. In the case of Verizon’s acquisition of Yahoo, the disclosure of three major data breaches led to a significant reduction of purchase price, as well as changes in key terms, including stipulations that the seller would bear half the costs of any future liabilities arising from these data breaches. In April 2019, Verizon and the portion of Yahoo that was not acquired would end up splitting a $117 million settlement for the data breach. In a more recent example, Spirit AeroSystems’ acquisition of Asco has been pending since 2018 with a delayed closing largely due to a ransomware attack on Asco. In June 2019, Asco experienced a ransomware attack that forced temporary factory closures, ultimately causing a 25% purchase price reduction of $150 million from the original $604 million.

In both the case of Spirit and Verizon’s acquisitions, cybersecurity issues were largely addressed through valuation and deal structure, which limits financial losses, but does little to prevent future issues for a buyer, including loss of confidence among customers and investors. Similar to Spirit and Verizon’s acquisitions, acquirers will typically utilize structural elements of a deal to limit the economic losses. Various mechanisms and structures — including representations, warranties, indemnifications and asset purchases — can be utilized to effectively transfer the direct economic liabilities of an identifiable cybersecurity issue. However, they cannot compensate for the greater loss that would occur from reputational risk or loss of important trade secrets.

What the Spirit and Verizon examples demonstrate is that there is quantifiable value associated with cybersecurity risk. Acquirers who do not actively assess their M&A targets are potentially introducing a risk into their transaction without a mitigation. Given a limited timeline and the inherently opaque nature of a target’s cybersecurity issues, acquirers would benefit greatly from outsourced solutions that would require no reliance upon, or input from a target.

The scope of such an assessment ideally uncovers previously unknown deficiencies in the target’s security and exposure of business systems and key assets, including data and company secrets or intellectual property. Without such knowledge, acquirers go into deals partially blinded. Of course, industry best practice is to reduce risk. Adding this measure of cybersecurity assessment is an excellent practice today and likely a mandatory requirement in the future.

Sunrun’s $3.2 billion Vivint Solar bid challenges Tesla’s energy ambitions

Tesla’s 2014 acquisition of SolarCity turned the electric vehicle manufacturer into the undisputed largest player in residential solar, but that lead has steadily eroded as its major competitor, Sunrun, surged ahead with more aggressive plans. Now with the $3.2 billion acquisition of the residential solar installation company Vivint Solar, Sunrun looks to solidify its place in the top spot.

From Tesla’s very early days Elon Musk has tried to define the company as an energy company rather than just a manufacturer of electric vehicles. When Tesla made its $2.6 billion bid for SolarCity the move was viewed as the culmination of the first phase of its “master plan,” which called for Tesla to “provide zero emission electric power generation options.”

Now that plan faces a major test from a publicly traded competitor that’s focused solely on providing residential solar power and the ability to lower costs for its panels through greater efficiencies of scale, according to analysts who track the solar energy sector.

Sunrun will be freaking big,” Joe Osha, an analyst at JMP Securities, told Bloomberg News. “They are clearly looking for ways to get scale and efficiency.”

Indeed, the combined companies will save roughly $90 million per year thanks to operational efficiencies, according to a statement from Sunrun. And the economies of scale will give the companies even more leverage when they contract with utilities on feeding power into the electric grid.

As Sunrun acknowledged in the announcement of its acquisition of the Blackstone-backed Vivint, the combined customer base of 500,000 homes represents over 3 gigawatts of solar assets. That figure still is only 3% penetration of the total market for residential solar in the United States.

Sunrun had already edged out Tesla for the top spot in residential solar installations, and together the two companies account for 75% of new residential solar leases each quarter, according to data from Bloomberg NEF.

“Americans want clean and resilient energy. Vivint Solar adds an important and high-quality sales channel that enables our combined company to reach more households and raise awareness about the benefits of home solar and batteries,” Sunrun CEO and co-founder Lynn Jurich said in a statement. “This transaction will increase our scale and grow our energy services network to help replace centralized, polluting power plants and accelerate the transition to a 100% clean energy future.”

Even as Sunrun’s $1.46 billion stock (and the assumption of about $1.8 billion in debt) creates a massive competitor to Tesla’s solar business, there’s an opportunity for Tesla to sell more batteries through its residential solar competitor.

Sunrun and Vivint will likely be pushing their customers to add energy storage to their solar installations, and that means using either Tesla’s Powerwall batteries or its own Brightbox batteries manufactured in partnership with LG Chem .

Investors have responded to Sunrun’s latest maneuver by pouring money into the stock. Sunrun’s shares were up more than $5 in midday trading.

How will coronavirus change the world? — Parlia launches to help you find out

Is Greta Thunberg a hypocrite?” Google that phrase and you will get thousands of results. It just goes to show that, to a large extent, the “Q&A” model is broken on the internet. Where once Yahoo Answers and Quora were considered the bright young things of Web 2.0’s “Read/Write Web,” today there is only the chaos of myriad search results. Let’s face it, many have tried to really crack Q&A (remember “Mahalo”?), but few ever got very far — and most became zombie sites.

But look again and you will notice something. A site called Parlia sits at No. 3 on that search result for “Is Greta Thunberg a hypocrite.” But Parlia only launched (in stealth mode) in October last year.

So how can this be?

Well, this upstart in the Q&A space has now closed a pre-seed round of funding from Bloomberg Beta, Tiny VC and others (amount undisclosed).

And as founder, and former journalist, Turi Munthe tells me, the idea here is Parlia will become an “encyclopedia of opinion.”

“We’re a wiki: mapping out all the perspectives on both the breaking stories and controversies of the day, as well as the big evergreen questions: does God exist? Is Messi really better than Ronaldo? The way we’re building is to also help fix today’s polarisation, outrage and information silo-ing,” he tells me.

While most Q&A sites are geared around X versus Y, and focused on rational debate, Parlia is trying to map ALL the opinions out there: flat earthers’ included. It’s aiming to be descriptive not prescriptive, and is closer to a wiki, unlike Quora, where the authors are often selling “something” as well as themselves as experts.

The site is already on a tear. And also highly appropriate for this era.

Right now top subjects include “How to stay healthy during quarantine at home?” or “What are the effects of spending long periods in coronavirus isolation?” or “Will the coronavirus crisis bring society together?” The list goes on. Users see the arguments calmly, dispassionately laid out, alongside counter-arguments and all the other arguments and positions.

Says Munthe: “In 2016, I realized the age of political consensus was over. I watched as Britain spilt maybe a trillion words of argument in the build-up to the Brexit Referendum and thought: there are no more than a half-dozen reasons why people will vote either way.”

He realized that if there’s a finite number of arguments around something as huge and divisive as Brexit, then this would be true for everything. Thus, you could theoretically map the arguments around gun control, abortion, responses to the coronavirus, the threat of AI and pretty much everything.

So why would anyone want to do that? It’s, of course, a good thing in itself and would help people understand what they think as well as help them understand how the rest of the world thinks.

Luckily, there is also a business model. It will potentially carry ads, sponsorships, membership and user donations. Another is data. If they get it right, they will have surfaced foundational information about the very ways we think.

Munthe thinks all the users will come through Search. “The media opportunity, we think, is 100 million-plus pageviews/month,” he says.

Munthe’s co-founder is J. Paul Neeley, former professor of the Royal College of Art, and a service designer who’s worked with Unilever and the U.K.’s Cabinet Office. Munthe himself has been exploring the systemic issues of the media ecosystem for some time. From founding a small magazine in Lebanon, reporting in Iraq in 2003, then starting and exiting Demotix, to launching North Base Media (a media-focused VC).

The temptation, of course, is to allow bias to creep in return for commercial deals. But, says Menthe: “We will never work with political parties, and we will set up our own ethics advisory board. But that understanding should be of value to market researchers and institutions everywhere.”

How startups close their first big sales

No matter what your startup sells or who you’re selling it to, companies that survive — and grow — need big customers and lots of them. But how do you land million-dollar deals with limited resources and no credibility?

In more than 20 years of building companies and products, I’ve learned that in the grand scheme of the startup lifecycle, while you scale your way through growth to eventual sustainability and success, acquiring your first customer is relatively easy. Any good salesperson can sell a good product to the prospect of their choice. Hell, any mediocre salesperson, even when they’re hawking complete crap, can get lucky once. Your first customer is a great signal, but it’s just a signal, not a savior.

What actually matters is what we learn from that first signal and all the signals that follow.

Aggregate value to target prospects

The process starts way before the first sales pitch. Your chances of closing your first big sale are going to be directly related to how well you’re targeting your prospective customers. So let’s begin with a discussion of aggregation and targeting.

All product and service sales come down to usage and aggregated value. It doesn’t matter if your target customer is a consumer or a business. It makes no difference if your price point is dollars or thousands of dollars. It doesn’t matter if your transaction is completely frictionless or requires a six-month hand-hold by your sales team.

If your customer is a consumer, they’re going to have limited usage with your product or service and the value needs to be tightly wound into that small usage window. If your customer is a business, they’re likely going to have multiple users and almost continuous usage of the product or service, so the value will be delivered over time.

So a “lot of customers” for your product or service might be 100, or it might be a million. Either way, you’re offering the same value per dollar based on usage. You’re aggregating that value into the sale, so you need to be targeting those customer prospects with the highest expected usage.

A classic rookie mistake made by most entrepreneurs is spraying and praying at large prospect audiences for the sake of their largeness alone, hoping that those shards of value surface for the right people at the right time.

Don’t do that. Instead, for B2C sales, you’re going to need some intelligence about your prospect list, which means more than Facebook ad demographics — it’s being able to predict the usage based on the source of the prospect. For B2B sales, you need to determine the optimum type of business to sell into: their size, their industry, their appetite for innovation, and anything else you can use to narrow your focus.

Figure out who is going to get the most aggregate value for their usage and target them.

Targeting customer prospects based on value aggregation is not only going to increase the chances of closing, it’s also going to dictate the near future in terms of the growth of your startup. A targeted, good customer is going to make your life a lot easier. A random, poor customer is going to fill your world with complaints, support requests, change requests, feature requests, and ultimately severe changes to your product roadmap.

Consolidate and find a champion

When you’re a startup, your customers are buying innovation. The tricky thing is, no one needs innovation. Rather, they need the derivatives of that innovation  —  time, simplification, throughput, security.

In order to close a big sale, in other words, the aggregation of many, many units of that usage and value, you’re going to have to consolidate that usage and find a champion of value on the customer side.

So the question becomes: Who benefits the most from the derivatives of innovation brought about by maximizing the usage of your product or service?

The latest version of Yahoo Mail helps users find attachments and deals

Yahoo Mail is getting a mobile update, with new versions of the iOS and Android app launching today.

Many of you probably haven’t tried out Yahoo Mail in years, but Senior Director of Product Management Josh Jacobson noted that it’s one of the top productivity apps in the Apple App Store, where it has been rated 2.1 million times, with an average rating of 4.6 stars.

Jacobson also said that Yahoo Mail is trying to do something very different from the Superhumans of the world, because it’s not one of the many apps that “solve for essentially corporate use cases.” Instead, it’s “completely focused on the consumer email use case, solving the business of your life.”

For example, Jacobson said he joined Yahoo after the company acquired his previous employer, the smart inbox service Xobni. (Yahoo, like TechCrunch, is owned by Verizon Media.) At the time, everyone assumed that when it came to helping users find things in email, “search is the way to go.”

Instead, he said it turns out “people just don’t know or want to have to figure out what to type into that imposing white box to find the thing that they’re looking for.”

So Yahoo Mail now offers a number of different views that should help you find stuff without searching, by focusing on specific types of content from your inbox.

If you’re looking for a photo or a file that someone sent you, there’s a view that just brings up all your attachments. Or if you’re looking for deals, there are three different views that you use — the overall Deals View, the currently iOS-only Location View (which shows you nearby deals on a map) and Grocery View (which shows you grocery discounts based on your loyalty cards).

Director of Product Management Shiv Shankar noted that while the app is sorting and prioritizing these offers, the deals themselves come from your inbox, not from Yahoo.

The new Yahoo Mail also includes a view for checking all your email subscriptions, and a button that allows you to unsubscribe from any of them with a single tap. And there’s an additional view (also iOS-only for now) focusing on “active updates,” namely pressing and time-sensitive emails, such as package tracking and travel updates.

The Yahoo Mail team has also refreshed the app’s overall look. That includes adding a navigation bar at the bottom of the screen, which Shankar said will make “single-hand usage” possible again, despite the fact that phone screens are getting bigger. The navigation bar is customizable — each user can decide which views to include.

And by the way, if you’re a little leery of sending email from a Yahoo address, Jacobson pointed out that you can use the Yahoo Mail app to access non-Yahoo email accounts, including Gmail and Outlook.

How Zhihu has become one of China’s biggest hubs for experts

Zhihu may not be as well known outside of China as WeChat or ByteDance’s Douyin, but over the past eight years, it has cultivated a reputation for being one of the country’s most trustworthy social media platforms. Originally launched as a question-and-answer site similar to Quora, Zhihu has grown to be a central hub for professional knowledge, allowing users to interact with experts and companies in a wide range of industries.

Headquartered in Beijing, Zhihu recently raised a $434 million Series F, its biggest round since 2011. The funding also brought Zhihu two important new partners: video and live-streaming app Beijing Kuaishou, which led the round, and Baidu, owner of China’s largest search engine (other participants in the round included Tencent and CapitalToday).

Launched in 2011, Zhihu (the name means “do you know”) is most frequently compared to Quora and Yahoo Answers. While it resembled those Q&A platforms at first, it has grown in scope. Now it would be more accurate to say that the platform is like a combination of Quora, LinkedIn and Medium’s subscription program.

For example, Zhihu has an invitation-only blogging platform for verified experts and since launching official accounts, it has become a channel for companies and organizations to communicate with users. A representative for Zhihu told TechCrunch that the platform had 220 million users and 30,000 official accounts as of January 2019 (for context, there are currently about 800 million Internet users in China), who have posted a total of 130 million answers so far.

The company’s growth will be closely watched since Zhihu is reportedly preparing for an initial public offering. Last November, the company hired its first chief financial officer, Sun Wei, heightening speculation. A representative for the company told TechCrunch the position was created because of Zhihu’s business development needs and that there is currently no timeline for a public listing.

At the same time, the company has also dealt with reports that its growth has slowed.
