Sprint 5G is no more, as T-Mobile focuses on its own network

A day after formally completing the sale of Boost, Virgin and other Sprint prepaid networks to Dish, T-Mobile is pulling the plug on Sprint 5G. The move is one in a long list of issues that need sorting out in the wake of April’s $26.5 billion merger. And like a number of other moves, it’s set to leave some customers in the lurch.

The end of Sprint’s 2.5 GHz 5G comes as T-Mobile opts to focus on its own network. T-Mobile already started the process in New York City, a few weeks after the merger and has since completed it in a handful of other cities, including Atlanta, Chicago, Dallas-Fort Worth, Houston, Kansas City, Los Angeles, Phoenix and Washington, D.C.

As CNET notes, while most of the Sprint 5G handsets won’t be able to make the transition, Samsung Galaxy S20 5G users are in the clear here. For everyone else, T-Mobile is offering up credits on leases for new 5G handsets.

T-Mobile told TechCrunch in a statement, “We are working to quickly re-deploy, optimize and test the 2.5GHz spectrum before lighting it up on the T-Mobile network.”

Along with the sale of Boost, 5G was a big selling point for T-Mobile’s Sprint acquisition. The carriers argued that the deal was necessary to keep them competitive with first and second place carriers AT&T and Verizon when it came to the next-generation wireless technology.

At the time FCC chairman Ajit Pai agreed stating, “This transaction will provide New T-Mobile with the scale and spectrum resources necessary to deploy a robust 5G network across the United States.”

Earlier this week, OpenSignal awarded T-Mobile the top spot in availability, noting, “In the U.S., T-Mobile won the 5G Availability award by a large margin with Sprint and AT&T trailing with scores of 14.1% and 10.3%, respectively.”

Dish closes Boost Mobile purchase, following T-Mobile/Sprint merger

T-Mobile today announced that it has closed a deal that divests Sprint’s pre-paid businesses, including Boost and Virgin Mobile. The news finds Dish entering the wireless carrier game in earnest, courtesy of the $1.4 billion deal.

The whole thing was, of course, a key part of T-Mobile’s bid to merge with Sprint. It was a relatively small concession to those worried that such a deal would decrease competition in the market, as the number of major U.S. carriers shrunk from four down to three. The $26 billion T-Mobile/Sprint deal was finally completed in April of this year, and has already resulted in hundreds of lost jobs, as reported last month by TechCrunch.

The deal gives Dish a nice head start in the pre-paid phone game, with north of 9 million customers and access to T-Mobile’s wireless network for the next seven years. It also finds current Dish’s COO John Swieringa stepping in to lead the new subsidiary. Oh, and there’s a new Boost logo, too:

Dish used the opportunity to announce a new plan for Boost users with 15GB of data for $45, and has already begun switching consumers with compatible devices over to the new T-Mobile-backed network.

After merger, T-Mobile lays off hundreds of Sprint employees

In a conference call on Monday lasting under six minutes, T-Mobile vice president James Kirby told hundreds of Sprint employees that their services were no longer needed. He declined to answer his employees’ questions, citing the “personal” nature of employee feedback, and ended the call.

TechCrunch obtained leaked audio of that call, which was said to be one of several calls held by T-Mobile leadership throughout the day to lay off staff across the organization. The layoffs come just two months after its contested $26 billion Sprint merger was finally completed.

On the call, Kirby said T-Mobile was eliminating Sprint’s inside sales unit (BISO), a sales division that focuses on small businesses across the United States. The executive didn’t say exactly how many staff were laid off. Almost 400 people were in the phone meeting, a person on the call told TechCrunch.

Kirby is heard saying that the division’s layoffs would make way for 200 new positions, and encouraged employees to apply for one of the new positions using T-Mobile’s external careers page, spelling out the web address on the call twice. Some impacted employees may be able to shift to new roles, though the carriers don’t appear to have done much to facilitate the moves beyond encouraging staff to apply.

The employees who were laid off Monday will keep their jobs for another two months until August 13, said Kirby. A person on the call told TechCrunch that the severance packages amount to two weeks pay for every year on the job, but some employees may get more.

Employers are required to give two months notice in advance of mass layoffs under the WARN Act.

T-Mobile leadership held several conference calls with employees to announce layoffs across various Sprint divisions on Monday on both the business and consumer sides, according to the person on the call. The person said that they were unaware of any T-Mobile employees affected by the layoffs.

“They cut people from every division, but BISO seems to have been hit the hardest,” the person said.

One employee described their frustration. “I just feel the company needs to acknowledge the pain they are putting people through during a pandemic — severance package or not.”

When reached, a T-Mobile spokesperson did not comment by our deadline.

T-Mobile closed the Sprint merger on April 1. The deal found the nation’s third- and fourth-largest carriers merged in a manner they insisted would keep them more competitive with the No. 1 and No. 2 services — AT&T and Verizon (TechCrunch’s parent company) — which have long dominated the category.

The merger was, understandably, subject to intense regulatory scrutiny in the months leading up to its final approval, as it would effectively reduce the country’s key carriers to three down from four. Among T-Mobile’s chief selling points were the claim that — in addition to increased competition — a merger would create more jobs.

“In total, New T-Mobile will have more than 11,000 additional employees on our payroll by 2024 compared to what the combined standalone companies would have,” then-chief executive John Legere claimed in an open letter last April.

The exact effect the merger has had on employee headcount isn’t entirely clear, but last month The Communications Workers of America estimated that it would impact some 30,000 jobs due to the consolidation of retail stores and corporate roles.

“T-Mobile has made no written, verifiable commitments to the FCC to protect jobs,” the union wrote. “While T-Mobile has tried to muddy the waters with vague loophole-ridden pledges to maintain jobs for current T-Mobile and Sprint employees, three-quarters of current employees selling the companies’ services work for authorized dealers and are not covered by the jobs pledge — 88,000 workers in total.”

T-Mobile officially completes merger with Sprint, CEO John Legere steps down ahead of schedule

After months of regulatory maneuvering, T-Mobile and Sprint officially completed their $26 billion merger today. The new combined parent company is called T-Mobile and will now trade on the Nasdaq under the ticker symbol TMUS with Sprint no longer trading on the NYSE.

For consumers, it will seemingly take a little time before the effects of the transition are meaningfully felt. T-Mobile did not comment on the future of the Sprint brand in today’s announcement, but they have previously promised that subscribers will have access to “the same or better rate plans” for three years as part of the deal.

Alongside news of the merger being finalized, T-Mobile shared that its CEO transition is taking place early. John Legere was supposed to stay on until the end of April, but Mike Sievert has been appointed CEO a month early, effective immediately. Sievert was previously T-Mobile’s COO.

Legere has led T-Mobile since 2012, mounting a turnaround at the company framing the service as a low-cost alternative to the duopoly of AT&T and Verizon. (Disclosure: TechCrunch is owned by Verizon Media, but this does not affect our coverage.) The company’s years-long “Un-carrier” marketing push often featured Legere and his antics prominently.

Legere is still on the company’s board of directors, but he’ll be stepping down at the end of his term through June.

Carriers introduce plans to keep consumers connected during COVID-19 pandemic

Earlier this month, the FCC issued a new measure aimed at easing some of the burdens on consumers as COVID-19 continues to have an increasingly profound impact on nearly every aspect of life.

Most or all major internet and wireless providers in the U.S. signed up for the pledge, agreeing to take actions like waiving late fees and not terminating service. Now specific plans are starting to emerge from carriers, aimed at helping cash-strapped consumers until this pandemic blows over.

T-Mobile this morning announced the launch of a $15/month Metro plan — at half the cost of its current lowest-price plan. The pricing will be in place for the next 60 days, including unlimited talk and 2GB of data. The company is also tossing in a free eight-inch tablet (with rebate, plus fine print) and will be adjusting other data plans for the next two months.

At the same time, Verizon (TC’s parent company) announced that it will be adding 15GB of 4G data to current consumer and small business plans, in an effort to help customers use their handsets as mobile hotspots as needed. The company will also be taking $20 off select FiOS plans and waving router rental fees for 60 days.

Like the other carriers, AT&T noted in a message to TechCrunch that it will not terminate service over inability to pay. It will also be waiving late fees, along with domestic overcharges for data, voice and text, retroactive to March 13.

Sprint, meanwhile, will provide for 60 days unlimited data to customers with metered plans, starting March 18, along with 20GB of free mobile hotspot data.

FCC proposes $208M in fines for wireless carriers that sold your location for years

The FCC has officially and finally determined that the major wireless carriers in the U.S. broke the law by secretly selling subscribers’ location data for years with almost no constraints or disclosure. But its Commissioners decry the $208 million penalty proposed to be paid by these enormously rich corporations, calling it “not properly proportioned to the consumer harms suffered.”

Under the proposed fines, T-Mobile would pay $91M; AT&T, $57M; Verizon, $48M; and Sprint, $12M. (Disclosure: TechCrunch is owned by Verizon Media. This does not affect our coverage in the slightest.)

The case has stretched on for more than a year and a half after initial reports that private companies were accessing and selling real-time subscriber location data to anyone willing to pay. Such a blatant abuse of consumers’ privacy caused an immediate outcry, and carriers responded with apparent chagrin — but often failed to terminate or even evaluate these programs in a timely fashion. It turns out they were run with almost no oversight at all, with responsibility delegated to the third party companies to ensure compliance.

Meanwhile the FCC was called on to investigate the nature of these offenses, and spent more than a year doing so in near-total silence, with even its own Commissioners calling out the agency’s lack of communication on such a serious issue.

Finally, in January, FCC Chairman Ajit Pai — who, it really must be noted here, formerly worked for one of the main companies implicated, Securus — announced that the investigation had found the carriers had indeed violated federal law and would soon be punished.

Today brings the official documentation of the fines, as well as commentary from the Commission. In the documents, the carriers are described as not only doing something bad, but doing it poorly — and especially in T-Mobile’s case, continuing to do it well after they said they’d stop:

We find that T-Mobile apparently disclosed its customers’ location information, without their consent, to third parties who were not authorized to receive it. In addition, even after highly publicized incidents put the Company on notice that its safeguards for protecting customer location information were inadequate, T-Mobile apparently continued to sell access to its customers’ location information for the better part of a year without putting in place reasonable safeguards—leaving its customers’ data at unreasonable risk of unauthorized disclosure

The general feeling seems to be that while it’s commendable to recognize this violation and propose what could be considered  substantial fines, the whole thing is, as Commissioner Rosenworcel put it, “a day late and a dollar short.”

The scale of the fines, they say, has little to do with the scale of the offenses — and that’s because the investigation did not adequately investigate or attempt to investigate the scale of those offenses. As Commissioner Starks writes in a lengthy statement:

After all these months of investigation, the Commission still has no idea how many consumers’ data was mishandled by each of the carriers.

We had the power—and, given the length of this investigation, the time—to compel disclosures that would help us understand the true scope of the harm done to consumers. Instead, the Notices calculate the forfeiture based on the number of contracts between the carriers and location aggregators, as well as the number of contracts between those aggregators and third-party location-based service providers. That is a poor and unnecessary proxy for the privacy harm caused by each carrier, each of which has tens of millions of customers that likely had their personal data abused.

Essentially, the FCC didn’t even look at the number or nature of actual harm — it just asked the carriers to provide the number of contracts entered into. As Starks points out, one such contract can and did sometimes represent thousands of individual privacy invasions.

We know there are many—perhaps millions—of additional victims, each with their own harms. Unfortunately, based on the investigation the FCC conducted, we don’t even know how many there were, and the penalties we propose today do not reflect that impact.

And why not go after the individual companies? Securus, Starks says, “behaved outrageously.” But they’re not being fined at all. Even if the FCC lacked the authority to do so, it could have handed off the case to Justice or local authorities that could determine whether these companies violated other laws.

As Rosenworcel notes in her own statement, the fines are also extraordinarily generous even beyond this minimal method of calculating harm:

The agency proposes a $40,000 fine for the violation of our rules—but only on the first day. For every day after that, it reduces to $2,500 per violation. The FCC heavily discounts the fines the carriers potentially owe under the law and disregards the scope of the problem. On top of that, the agency gives each carrier a thirty-day pass from this calculation. This thirty day “get-out-of-jail-free” card is plucked from thin air.

Given that this investigation took place over such a long period, it’s strange that it did not seek to hear from the public or subpoena further details from the companies facilitating the violations. Meanwhile the carriers sought to declare a huge proportion of their responses to the FCC’s questions confidential, including publicly available information, and the agency didn’t question these assertions until Starks and Rosenworcel intervened.

$200M sounds like a lot, but divided among several billion-dollar communications organizations it’s peanuts, especially when you consider that these location-selling agreements may have netted far more than that in the years they were active. Only the carriers know exactly how many times their subscribers’ privacy was violated, and how much money they made from that abuse. And because the investigation has ended without the authority over these matters asking about it, we likely never will know.

The proposed fines, called a Notice of Apparent Liability, are only a tentative finding, and the carriers have 30 days to respond or ask for an extension — the latter of which is the more likely. Once they respond (perhaps challenging the amount or something else) the FCC can take as long as it wants to come up with a final fine amount. And once that is issued, there is no requirement that the fine actually be collected — and the FCC has in fact declined to collect before once the heat died down, though not with a penalty of this scale.

“While I am glad the FCC is finally proposing fines for this egregious behavior, it represents little more than the cost of doing business for these carriers,” Congressman Frank Pallone (D-NJ) said in a statement. “Further, the Commission is still a long way from collecting these fines and holding the companies fully accountable.”

The only thing that led to this case being investigated at all was public attention, and apparently public attention is necessary to ensure the federal government follows through on its duties.

Sprint/T-Mobile merger gets federal judge approval

The U.S. mobile landscape is on track to look a whole lot different. A hotly contested $26 billion deal between T-Mobile and Sprint just got the go ahead from a U.S. district court judge. The merger would combine the country’s third and fourth largest mobile carriers, effectively reducing the number of key carriers from four down to three.

Critics of the deal, including attorneys general from more than one dozen states, have expressed concern that such a deal would diminish competition in the market. T-Mobile and Sprint, on the other hand, have argued that such a deal would actually make the market more competitive and give a combined company a better chance of battling with (TechCrunch parent company) Verizon and AT&T on the 5G front.

U.S. District Judge Victor Marrero, it seems, sided with the latter. He lauded T-Mobile’s business practices in a statement. “T-Mobile has redefined itself over the past decade as a maverick that has spurred the two largest players in its industry to make numerous pro-consumer changes,” Judge Marrero wrote.

The deal has already cleared a number of key hurdles, including Justice Department approval. Involved states, however, are considering an appeal. “From the start, this merger has been about massive corporate profits over all else, and despite the companies’ false claims, this deal will endanger wireless subscribers where it hurts most: their wallets,” NY Attorney General Attorney Letitia James said in a statement.

Fourteen attorneys general will challenge T-Mobile and Sprint merger in court this week

After months of statements, the biggest challenge yet to T-Mobile and Sprint’s proposed merger kicks off today in a Manhattan court. The trial is the result of pushback from a coalition of attorneys general of 13 states and the District of Columbia, who have raised flags over the proposed $26 billion merging of the country’s third and fourth-largest carriers.

“Today we stand on the side of meaningful competition and affordable options for consumers,” California Attorney General Xavier Becerra said in a statement provided to TechCrunch. “Our airwaves belong to the public, who are entitled to more, not less. This merger would hurt the most vulnerable people among us — leaving consumers with fewer choices and higher prices. We’re fighting in court with a 14-state strong coalition for then, and for all Americans, and we’re confident the law is on our side.”

The AGs contend that such a merger will decrease competition in the U.S. telecom market, by knocking the number of major carriers down to three. T-Mobile and Sprint, on the other hand, have argued that it will do the opposite, suggesting that the companies’ pooled powers would better equip them to take on Verizon and AT&T in the rush to 5G.

Over the summer, FCC Chairman Ajit Pai issued an order essentially arguing with the carriers and suggested the deal move forward. “The evidence conclusively demonstrates that this transaction will bring fast 5G wireless service to many more Americans and help close the digital divide in rural areas,” he said in August.

The trial is expected to last three weeks, per The Wall Street Journal, kicking off with today’s opening statements. Sprint Chairman Marcelo Claure and soon-to-be-former T-Mobile CEO John Legere will take the stand to make their case against the AGs.

T-Mobile opens pre-orders on two 5G phones as low-band network goes live

The 5G question has long been carts and horses. The next-generation wireless network has always been an inevitability, of course, but the rollout has always felt a bit piecemeal. T-Mobile, to its credit, is looking to flip the switch all at once (kind of), launching a “nationwide” deployment of 5G to a coverage area it says will reach 200 million of the U.S.’s 327 million residents.

The 600MHz low-band network goes live today, fulfilling the promise of 5G in 2019 with nearly a month to spare. That coincides with the pre-order of two 5G-enabled handsets, from OnePlus and Samsung. The OnePlus 7T Pro 5G McLaren Edition, at least, is a T-Mobile exclusive here in the States.

It’s a premium as far as OnePlus goes, but still arrives at the (relatively) low price of $900. Compare that to the $1,300 Galaxy Note 10 Plus 5G. Both are officially going on sale on Friday, and should be able to connect to the new network at launch.

T-Mobile’s clearly being more deliberate in its roll out here, fighting the urge to plant its flag. Instead, the carrier’s network will be available in wider swaths of land versus the competition’s neighborhood to neighborhood approach. And while the network isn’t expected to be as fast as other solutions, it should reach indoors better — a pretty key differentiator.

As CNET notes, it’s still fairly piecemeal in certain respects — the existing millimeter 5G wave network won’t work with the new devices. Nor will older devices work with the new network. Much of this move appears to be in anticipation of T-Mobile’s merger with Sprint.

The ability to compete with AT&T and Verizon on the 5G front has always been the key selling point of such a merger. Though reducing the field from four players down to three to increase competition has always seemed a dubious claim, at best.

John Legere is stepping down as CEO of T-Mobile, succeeded by deputy Mike Sievert on May 1

He’s reportedly not going to take over WeWork, but John Legere is definitely on his way out of the CEO role at T-Mobile, the carrier that is currently merging with SoftBank-controlled Sprint. Today the carrier and Legere confirmed that Mike Sievert — currently T-Mobile’s COO — will succeed Legere as CEO on May 1 of 2020. Legere will stay on the board.

Neither Legere nor T-Mobile commented on what his next move will be, and specifically if this will pave the way for him to take over the top job at WeWork. There had been reports that Legere — something of a turnaround specialist — was being lined up for the job at the very troubled office-space startup, which had to shelve its IPO earlier this year after showing poor financials amid questionable management that not only led to the departure of its founder Adam Neumann as CEO, but a strong devaluation of the company that resulted in SoftBank, as a major creditor, taking control.

The reports of Legere coming in to fix things at WeWork seemed to get refuted quite swiftly. However, the same “sources” that quashed that story also insisted he had “no plans” to leave T-Mobile. With elements of the report in doubt, that could put the WeWork rumors (or thoughts of other SoftBank roles, for that matter) back on the table. We’ve asked Legere directly and will update this post if he replies.

Legere has been with T-Mobile since 2012, where he used his irreverent personality to directly spar with the industry while at the same time position the carrier — which has long trailed bigger competitors like AT&T and Verizon (which owns us) in size — as a growth story and different from the pack (hence the “un-carrier” marketing strategy). The stock price has over that time gone up, and the carrier is currently valued at around $65 billion. (Notably, the stock is down about 1.5% today on the back of this news.)

Sievert will be tasked with continuing the route that Legere set, T-Mobile said, “demonstrating that T-Mobile will remain a disruptive force in US wireless marketplace to benefit consumers.”

“I hired Mike in 2012 and I have great confidence in him. I have mentored him as he took on increasingly broad responsibilities, and he is absolutely the right choice as T-Mobile’s next CEO,” said Legere in a statement. “Mike is well prepared to lead T-Mobile into the future. He has a deep understanding of where T-Mobile has been and where it needs to go to remain the most innovative company in the industry. I am extremely proud of the culture and enthusiasm we have built around challenging the status quo and our ongoing commitment to putting customers first.”

“The Un-carrier culture, which all our employees live every day, will not change,” Sievert said in a separate statement. “T-Mobile is not just about one individual. Our company is built around an extraordinarily capable management team and thousands of talented, committed, and customer-obsessed employees. Going forward, my mission is to build on T-Mobile’s industry-leading reputation for empowering employees to deliver an outstanding customer experience and to position T-Mobile not only as the leading mobile carrier, but as one of the most admired companies in America.”

Regardless of whether this is a sign that SoftBank indeed has a job lined up for Legere at one of its other portfolio companies, such as WeWork, the changing of the guard makes some sense, as the merger with Sprint would leave a question mark over who would lead the combined business. The two companies were reportedly close to releasing a management line-up for the merged business earlier this year, but that has yet to happen. The merger is due to be completed early next year.
