There is infinite money for stock-trading startups

Earlier this week TechCrunch broke the news that Public, a consumer stock trading service, was in the process of raising more money. Business Insider quickly filled in details surrounding the round, that it could be around $200 million at a valuation of $1.2 billion. Tiger could lead.

Public wants to be the anti-Robinhood. With a focus on social, and a recent move away from generating payment for order flow (PFOF) revenues that have driven Robinhood’s business model, and attracted criticism, Public has laid its bets. And investors, in the wake of its rival’s troubles, are ready to make it a unicorn.

Of course, the Public round comes on the heels of Robinhood’s epic $3.4 billion raise, a deal that was shocking for both its scale and speed. The trading service’s investors came in force to ensure it had the capital it needed to continue supporting consumer trades. Thanks to Robinhood’s strong Q4 2020 results, and implied growth in Q1 2021, the boosted investment made sense.

As does the Public money, provided that 1) The company is seeing lots of user growth, and 2) That it figures out its forever business model in time. We cannot comment on the second, but we can say a bit about the first point.

Thanks not to Public, really, but M1 Finance, a Midwest-based consumer fintech that has a stock-buying function amongst its other services (more on it here). It told TechCrunch that it saw a quadrupling of signups in January as compared to December. And in the last two weeks, it saw six times as many signups as the preceding two weeks.

Given that M1 doesn’t allow for trading — something that its team repeatedly stressed in notes to TechCrunch — we can’t draw a perfect line between M1 and Public and Robinhood, but we can infer that there is huge consumer interest in investing of late. Which helps explain why Public, which is hunting up a way to generate long-term incomes, can raise another round just months after it closed a different investment.

Our notes last year on how savings and investing were the new thing last year are accidentally becoming even more true than we expected.

Market Notes

As the week came to a close, Coupang filed to go public. You can read our first look here, but it’s going to be big news. Also on the IPO beat, Matterport is going out via a SPAC, I chatted with Metromile CEO Dan Preston about his insurtech public offering this week that also came via a SPAC, and so on.

Oscar Health filed, and it doesn’t look super strong. So its impending valuation is going to test public traders. That’s not a problem that Bumble had when it priced above-range this week and then skyrocketed after it started to trade. Natasha and I (she’s on Equity, as well) have some notes from Bumble CEO Whitney Wolfe Herd that we’ll get to you early next week. (Also I chatted about the IPO with the BBC a few times, which was neat, the first of which you can check out here if you’d like.)

Roblox’s impending public debut was also back in the news this week. The company was a bit bigger than it thought last year (cool), but may delay its direct listing to March (not cool).

Near to the IPO beat, Carta started to allow its own shares to trade recently, on the back of news that its revenues have scaled to around $150 million. Not bad Carta, but how about a real IPO instead of staying private? The company’s valuation more than doubled during the secondary transitions.

And then there were so very many cool venture capital rounds that I couldn’t get to this week. This Koa Health round, for example. And whatever this Slync.io news is. (If you want some earlier-stage stuff, check out recent rounds from Treinta, Level, Ramp and Monte Carlo.

And to close, a small callout to Ontic, which provides “protective intelligence software” and said that its revenue grew 177% last year. I appreciate the sharing of the numbers, so wanted to highlight the figure.

Various and Sundry

Wrapping this week, I have a final bit for you to chew on from Mark Mader, the CEO of Smartsheet, a public company — former startup, it’s worth noting — that plays in the no-code, automation and collaboration markets. That’s a rough summary. Anyhoo, I asked Mader about no-code trends in 2021, as I have my eyes on the space. Here’s what he wrote for us:

If you thought the sudden shift to remote work sped up corporate America’s shift to digital, you haven’t seen anything yet. Digital transformation is going to accelerate even more rapidly in 2021. Last year, the workforce was exposed to many different types of technology all at once. For example, a company may have deployed Zoom or DocuSign for the first time. But much of this shift involved taking analog processes like meetings or document signing and approval and bringing them online. Things like this are merely a first step. 2021 is the year the companies will begin to connect large-scale digital events to infrastructure that can make them automated and repeatable. It’s the difference between one person signing a document and hundreds of people signing hundreds of documents, with different rules for each one. And that’s just one example. Another use case could involve linking HR software to project management software for automated, real-time resource allocation that allows a company to get more out of both platforms, as well as its people. The businesses that can automate and simplify complex workflows like these will see dramatically improved efficiency and return on their technology investments, putting them on the path to true transformation and improved profitability.

Robinhood’s pain is Public’s gain as VCs rush to give it more money

Public.com, a social-focused free stock trading service, is nearing the close of a Series D just two months after raising a $65 million Series C, sources familiar with the matter told TechCrunch.

The San Francisco-based fintech aims to give people the ability to invest in companies using any amount of money, with a focus on community activity over active trading. It competes with Robinhood, M1 Finance and other American fintech companies that offer consumers a way to invest in equities with low or zero fees.

Public.com apparently got a flurry of investor interest over the past couple of weeks after Robinhood found itself in hot water and essentially raised $3.4 billion in a matter of days to help get itself out of a mess. 

That new capital came at a challenging time for the unicorn, which could pursue an IPO this year. And some investors reportedly want a piece of rival Public.com’s pie.

One source told TechCrunch that many of those offering term sheets believe there could be “a mass exodus from Robinhood” and want a way to capture that value.

Public recently shook up its business model, moving from generating revenue from order flow payments, a key way that Robinhood monetizes, to collecting tips from users in exchange for executing their orders. Payment for order flow, or PFOF, has become a touchstone in the debate surrounding low-cost trading platforms, and how users may pay for their transactions if not in direct fees.

Investors betting on Public, then, would be placing a wager on not merely future user growth, but the startup’s ability to monetize effectively in the future. 

The sources for this story were granted anonymity due to the sensitivity of the discussions.

Public grew quickly in 2020, expanding its user base by a multiple of 10 since the start of the year.

Co-founder Leif Abraham told TC’s Alex Wilhelm in December that the company’s growth has been consistent instead of lumpy, expanding at around 30% each month. The co-founder also stressed that most of Public’s users find its service organically, implying that the startup’s marketing costs have not been extreme, nor its growth artificially boosted.

We don’t know yet  how much Public is raising in its Series D, or who all is investing. Public has not responded to multiple requests for comment. VC firm Accel — which led its Series A, B and C rounds — also declined to comment. But we’ll definitely report details as we get them.

Affirm files to go public

Affirm, a consumer finance business founded by PayPal mafia member Max Levchin, filed to go public this afternoon.

The company’s financial results show that Affirm, which doles out personalized loans on an installment basis to consumers at the point of sale, has an enticing combination of rapidly expanding revenues and slimming losses.

Growth and a path to profitability has been a winning duo in 2020 as a number of unicorns with similar metrics have seen strong pricing in their debuts, and winsome early trading. Affirm joins DoorDash and Airbnb in pursuing an exit before 2020 comes to a close.

Let’s get a scratch at its financial results, and what made those numbers possible.

Affirm’s financials

Affirm recorded impressive historical revenue growth. In its 2019 fiscal year, Affirm booked revenues of $264.4 million. Fast forward one year and Affirm managed top line of $509.5 million in fiscal 2020, up 93% from the year-ago period. Affirm’s fiscal year starts on July 1, a pattern that allows the consumer finance company to fully capture the U.S. end-of-year holiday season in its figures.

The San Francisco-based company’s losses have also narrowed over time. In its 2019 fiscal year, Affirm lost $120.5 million on a fully-loaded basis (GAAP). That loss slightly fell to $112.6 million in fiscal 2020.

More recently, in its first quarter ending September 30, 2020, Affirm kept up its pattern of rising revenues and falling losses. In that three-month period, Affirm’s revenue totaled $174.0 million, up 98% compared to the year-ago quarter. That pace of expansion is faster than the company managed in its most recent full fiscal year.

Accelerating revenue growth with slimming losses is investor catnip; Affirm has likely enjoyed a healthy tailwind in 2020 thanks to the COVID-19 pandemic boosting ecommerce, and thus gave the unicorn more purchase in the realm of consumer spend.

Again, comparing the company’s most recent quarter to its year-ago analog, Affirm’s net losses dipped to just $15.3 million, down from $30.8 million.

Affirm’s financials on a quarterly basis — located on page 107 of its S-1 if you want to follow along — give us a more granular understanding of how the fintech company performed amidst the global pandemic. After an enormous fourth quarter in calendar year 2019, growing its revenues to $130.0 million from $87.9 million in the previous quarter, Affirm managed to keep growing in the first, second, and third calendar quarters of 2020. In those periods, the consumer fintech unicorn recorded a top line of $138.2 million, $153.3 million, and $174 million, as we saw before.

Perhaps best of all, the firm turned a profit of $34.8 million in the quarter ending June 30, 2020. That one-time profit, along with its slim losses in its most recent period make Affirm appear to be a company that won’t hurt for future net income, provided that it can keep growing as efficiently as it has recently.

The COVID-19 angle

The pandemic has had more impact on Affirm than its raw revenue figures can detail. Luckily its S-1 filing has more notes on how the company adapted and thrived during this Black Swan year.

Certain sectors provided the company with fertile ground for its loan service. Affirm said that it saw an increase in revenue from merchants focused on home-fitness equipment, office products, and home furnishings during the pandemic. For example, its top merchant partner, Peloton, represented approximately 28% of its total revenue for the 2020 fiscal year, and 30% of its total revenue for the three months ending September 30, 2020.

Peloton is a success story in 2020, seeing its share price rise sharply as its growth accelerated across an uptick in digital fitness.

Investors, while likely content to cheer Affirm’s rapid growth, may cast a gimlet eye at the company’s dependence for such a large percentage of its revenue from a single customer; especially one that is enjoying its own pandemic-boost. If its top merchant partner losses momentum, Affirm will feel the repercussions, fast.

Regardless, Affirm’s model is resonating with customers. We can see that in its gross merchandise volume, or total dollar amount of all transactions that it processes.

GMV at the startup has grown considerably year-over-year, as you likely expected given its rapid revenue growth. On page 22 of its S-1, Affirm indicates that in its 2019 fiscal year, GMV reached $2.62 billion, which scaled to $4.64 billion in 2020.

Akin to the company’s revenue growth, its GMV did not grow by quite 100% on a year-over-year basis. What made that growth possible? Reaching new customers. As of September 30, 2020, Affirm has more than 3.88 million “active customers,” which the company defines as a “consumer who engages in at least one transaction on our platform during the 12 months prior to the measurement date.” That figure is up from 2.38 million in the September 30, 2019 quarter.

The growth is nice by itself, but Affirm customers are also becoming more active over time, which provides a modest compounding effect. In its most recent quarters, active customers executed an average of 2.2 transactions, up from 2.0 in third quarter of calendar 2019.

Also powering Affirm has been an ocean of private capital. For Affirm, having access to cash is not quite the same as a strictly-software company, as it deals with debt, which likely gives the company a slightly higher predilection for cash than other startups of similar size.

Luckily for Affirm, it has been richly funded throughout its life as a private company. The fintech unicorn has raised funds well in excess of $1 billion before its IPO, including a $500 million Series G in September of 2020, a $300 million Series F in April of 2019, and a $200 million Series E in December of 2017. Affirm also raised more than $400 million in earlier equity rounds, and a $100 million debt line in late 2016.

What to make of the filing? Our first-read take is that Affirm is coming out of the private markets as a healthier business than the average unicorn. Sure, it has a history of operating losses and not yet proven its ability to turn a sustainable profit, but its accelerating revenue growth is promising, as are its falling losses.

Robinhood raises $280M, pushing its valuation to $8.3B

As expected, Robinhood has closed a new round of capital. The late-stage, consumer investing app announced today that it has closed a $280 million Series F funding at an $8.3 billion valuation. This closely tracks prior coverage that the firm was hunting for a nine-figure round at a valuation of around $8 billion.

Robinhood raised capital several times in 2019, including a $323 million mid-year Series E that valued the firm at around $7.6 billion, counting the value of the investment. 

The valuation gains that the Menlo Park, Calif.-based unicorn has enjoyed over time are slowing. The firm’s 2017 Series C valued it at around $1.3 billion. That rose to around $5.6 billion the next year when it raised $363 million in its Series D. The firm’s Series E’s $7.6 billion valuation was strong, then, but a deceleration. And today’s $8.3 billion valuation brings its slimmest valuation gain in years.

It seems likely that Robinhood is growing into its valuation as it scales. According to its blog post, Robinhood has added 3 million accounts this year.

According to Bloomberg, which broke the news of the firm’s then-impending funding round, Robinhood recorded around $60 million in revenue this March, three times its February result. It is unclear if the firm can continue that pace of revenue generation during the remainder of 2020, but Robinhood’s trailing valuation multiple would decline sharply if the feat was possible. (Revenue multiples are broadly contracting as the economy slows, and investors project slower growth amongst startups.)

But while Robinhood is caught in an updraft that is lifting the fortunes of many savings and investing apps, its road has not been entirely smooth this year.

Growing pains

Robinhood made headlines in March with less fortuitous news: three outages in two weeks. An outage, in the company’s case, means that consumers were unable to trade during specific hours due to technical difficulties. As the financial services startup handles people’s money — often tied to specific market movements — making any disruption to its operations the opposite of good news. 

The stability of apps that handle your money is especially important right now, as people try to get their financial health in order amid rising unemployment and an uncertain future economy at large, let alone the stock market.

We don’t know whether the round was closed before the outages and before COVID-19, but we wouldn’t be surprised if discussions were underway months earlier. (We asked; Robinhood declined to comment.)

It’s worth noting that when Robinhood suffered its first massive outage, its co-CEOs noted that the cause was largely due to a stress on infrastructure due to an unprecedented load of usage. 

Robinhood has spent time in the last few weeks figuring out how to handle another increases in usage — sensibly, the new capital will be used to build out capabilities and prevent future crashes. (The company said in its announcement that it intends to “continue to invest in scaling our platform.”) 

It’s going to need that platform stability if the market keeps moving as swiftly toward its portion of the fintech world as it has in the last few months.

A savings boom

Robinhood’s citing of “unprecedented load” as part of the cause of its difficulties drove some snark. It’s hard to fit a small brag into an apology, after all. But one thing TechCrunch has learned is that individuals are investing and saving during the pandemic.

Data for this abounds. Acorns, a savings and investing app, saw a record of signups on March 19, the same day that the company noted the stock market recorded their second-worst day of trading since 1987. 

We’ve collected further data in the same vein, with Public (another free stock-trading app) reporting surging usage, and other fintech providers telling TechCrunch that more folks than ever are looking to save and buy stocks. Indeed, Robinhood later said that in March it saw “more than 10x net deposits” when compared to the monthly average it set in the last quarter of 2019.

The company, then, raised around a usage high. This makes its failure to generate a larger valuation premium nearly confusing; after all, when would there be a better time for it to raise? The answer appears to be that the same market dynamic that gave it a surge in demand (the pandemic) is likely also the reason that its valuation gains were slight (falling revenue multiples and falling private investor sentiment).

Sequoia Capital led the round, which saw participation from NEA, fintech-focused Ribbit and smaller firms 9Yards Capital and Unusual Ventures.

Other companies are riding the same fundraising wave. Last week, investing app Stash raised a $112 million round led by LendingTree. In its most recent quarter Stash claims it had an over 100% increase in weekly customer deposits across banking and investing. 

There are no shortages of other investing platforms for consumers during this time, even if that looks like a traditional incumbent bank. With a new nine-figure round, Robinhood will have to prove that it is competitive, and more importantly, reliable.
