Walmart has been working with IBM on a food safety blockchain solution and today it announced it’s requiring that all suppliers of leafy green vegetable for Sam’s and Walmart upload their data to the blockchain by September 2019 .
Most supply chains are bogged down in manual processes. This makes it difficult and time consuming to track down an issue should one like the E. coli romaine lettuce problem from last spring rear its head. By placing a supply chain on the blockchain, it makes the process more traceable, transparent and fully digital. Each node on the blockchain could represent an entity that has handled the food on the way to the store, making it much easier and faster to see if one of the affected farms sold infected supply to a particular location with much greater precision.
Walmart has been working with IBM for over a year on using the blockchain to digitize the food supply chain process. In fact, supply chain is one of the premiere business use cases for blockchain (beyond digital currency). Walmart is using the IBM Food Trust Solution, specifically developed for this use case.
“We built the IBM Food Trust solution using IBM Blockchain Platform, which is a tool or capability that IBM has built to help companies build, govern and run blockchain networks. It’s built using Hyperledger Fabric (the open source digital ledger technology) and it runs on IBM Cloud,” Bridget van Kralingen, IBM’s senior VP for Global Industries, Platforms and Blockchain explained.
Before moving the process to the blockchain, it typically took approximately 7 days to trace the source of food. With the blockchain, it’s been reduced to 2.2 seconds. That substantially reduces the likelihood that infected food will reach the consumer.

One of the issues in a requiring the suppliers to put their information on the blockchain is understanding that there will be a range of approaches from paper to Excel spreadsheets to sophisticated ERP systems all uploading data to the blockchain. Walmart spokesperson Molly Blakeman says that this something they worked hard on with IBM to account for. Suppliers don’t have to be blockchain experts by any means. They simply have to know how to upload data to the blockchain application.
“IBM will offer an onboarding system that orients users with the service easily. Think about when you get a new iPhone – the instructions are easy to understand and you’re quickly up and running. That’s the aim here. Essentially, suppliers will need a smart device and internet to participate,” she said.
After working with it for a year, the company things it’s ready for broader implementation with the goal ultimately being making sure that the food that is sold at Walmart is safe for consumption, and if there is a problem, making auditing the supply chain a trivial activity.
“Our customers deserve a more transparent supply chain. We felt the one-step-up and one-step-back model of food traceability was outdated for the 21st century. This is a smart, technology-supported move that will greatly benefit our customers and transform the food system, benefitting all stakeholders,” Frank Yiannas, vice president of food safety for Walmart said in statement.
In addition to the blockchain requirement, the company is also requiring that suppliers adhere to one of the Global Food Safety Initiative (GFSI), which have been internationally recognized as food safety standards, according to the company.

23andMe, IBM and now uBiome is the next tech company to jump into the lucrative multi-billion dollar drug discovery market.
The company started out with a consumer gut health test to check whether your intestines carry the right kind of bacteria for healthy digestion but has since expanded to include over 250,000 samples for everything from the microbes on your skin to vaginal health — the largest data set in the world for these types of samples, according to the company.
Founder Jessica Richman now says there’s a wider opportunity to use this data to create value in therapeutics.
To support its new drug discovery efforts, the San Francisco-based startup will be moving its therapeutics unit into new Cambridge, Massachusetts headquarters and appointing former Novartis CEO Joseph Jimenez to the board of directors as well.
The company has a healthy pile of cash to help build out that new HQ, too, with a fresh $83 million Series C, lead by OS Fund and in participation with 8VC, Y Combinator, Dentsu Ventures and others.
The drug discovery market is slated to be worth nearly $86 billion by 2022, according to BCC Research numbers. New technologies — those that solve logistics issues and shorten the time between research and getting a drug to market in particular — are driving the growth and that’s where uBiome thinks it can get into the game.
“This financing allows us to expand our product portfolio, increase our focus on patent assets and further raise our clinical profile, especially as we begin to focus on commercialization of drug discovery and development of our patent assets,” Richman said.
Though its unclear at this time which drug maker the company might partner up with, Richman did say there would be plenty to announce later on that front.
So far, the company has published over 30 peer-reviewed papers on microbiome research, has entered into research partnerships with the likes of the Center for Disease Control (CDC) and leading research institutions such as Harvard, MIT and Stanford and has previously raised $22 million in funding. The additional VC cash puts the total amount raised to $105 million to date.

Redbird Health Tech – Redbird is a lab-in-a-box for convenient health monitoring in emerging market pharmacies, starting with Africa. Africa has the fastest growing middle class in the world — but also the fastest growing rate of diabetes (double North America’s). Redbird supplies local pharmacies with software and rapid tests to transform them into health monitoring points – for anything from blood sugar to malaria to cholesterol. The founding team includes a Princeton Chemical Engineer, 2 Peace Corps alums, and a Pharmacist from Ghana’s top engineering school. They have 20 customers, and are growing 36% week over week.
Shuttle – Shuttle is getting a head start on the future of space travel by building a commercial spaceflight booking platform. Space tourism may be coming sooner than you think. Shuttle wants to democratize access to the heavens above. Founded by a Stanford Computer Science alum active in Stanford’s Student Space Society, Shuttle has partnerships with the leading spaceflight operators, including Virgin Galactic, Space Adventures, and Zero-G. Tickets to space today will set you back a cool $250K, but Shuttle believes that prices will drop exponentially as reusable rockets and landing pads become pervasive. They have $1.6m in reservations and growing.
Birdnest – Threading the needle between communal and private, Birdnest is the Goldilocks of office space for startups. Communal coworking spaces are accessible but have too many distractions. Traditional office spaces are private but inflexible on their terms. Birdnest brings the best of each without the drawbacks: finding, leasing, and operating a network of underutilized spaces inside of private offices. The cofounders, a duo of Duke and Kellogg MBA grads, are at $300K ARR with a fast-growing 50+ client waitlist.
Tag.bio – Tag.bio wants to make data science actionable in healthtech. The founding team is comprised of a former Ayasdi bioinformatician and a former Honda Racing engineer with a Stanford MBA. They’ve developed a next-generation data science platform that makes it easy and fast to build data apps for end users, or as they say, “WordPress for data science.” The result they claim is lightning-fast analysis apps that can be run by end users, dramatically accelerating insight discovery. They count the UCSF Medical Center and a “large Swiss pharma company” as early customers.
nCorium – They’ve built a new server architecture to handle the onslaught of AI to come with what they claim is the world’s first AI accelerator on memory to deliver 30x greater performance than the status quo. The quad founding team is intimidatingly technical — including a UCSD Professor, and former engineers from Qualcomm and Intel with 40 patents among them. They have $300K in pilots.
Spiio – Software eats landscaping with Spiio, which combines cloud-driven AI with physical sensors to monitor watering and landscaping for big companies. Their smart system knows when to water and when not to. This reduces water consumption by 50%, which means their system pays for itself in less than 30 days for big companies. They want to connect every plant to the internet, and look like they are off to a good start — $100K in orders from brand name Valley tech firms, and they are doubling monthly.
Element42 – Fraud is a major problem — For example, if you buy a Rolex on eBay, you run the risk of winding up with a counterfeit. Started by ex-VPs from Citibank, the founders are using risk models and technologies that banks use to help brands combat fraud and counterfeiting. Designed with token economics, they also incentivize customers to buy genuine products by serving exclusive content and promotions only to genuine product holders. Built on blockchain at the core, they claim to be the world’s first peer-to-peer authentication platform for physical assets. They have 45 customers across two industry verticals, 800K in ARR and are a member of World Economic Forum’s global initiatives against corruption.
My90 – Distrust between the public and the police has rarely been more strained than it is today. My90 wants to solve that by collecting data about interactions between the police and the public—think traffic stops, service calls, etc.—and turn these into actionable intelligence via an online analytics dashboard. Users text My90 anonymously about their interactions, and My90’s dashboard analyzes the results using natural language processing. Customers include major city police departments like the San Jose Police Department and the world’s largest community policing program. They have booked $150K in pilots and are expanding aggressively across the US.
Nunetz – A Stanford Computer Science grad and UCSF Neurosurgeon have come together to try to build a single unifying interface to replace the deluge of monitors and data sources in today’s clinical health environment. The goal is to prepare a daily “battle map” for physicians, nurses, and other providers, with an initial focus on the Intensive Care Unit (ICU). They have closed 3 paid pilots with hospitals through grants.
When Labs – If you hate managing people, When Labs wants to unburden you. Using an AI-powered assistant that texts with employees to negotiate assignments for hourly work, WhenLabs is trying to free customers like Hilton from spending money on managers who would normally do this manually. As the system gets smarter, they claim employees will prefer interfacing with their AI bot more than a human. AI and HR is a crowded space, but this might be the team to separate from the pack: the founding team’s previous company had a 9 figure exit to IBM.
FirstCut – FirstCut helps businesses put video content out at scale. Video dominates social media — it creates 10x more comments than text — and is emerging as a necessity for B2B media. But putting video out if you are a B2B marketer normally requires using agencies that charge hefty fees. FirstCut wants to disrupt the agencies with software and marketplaces. They use software automation and an on-demand talent marketplace to offer a fixed price product for video content. They are at $180k revenue, and most of it is moving to recurring subscriptions.
LynxCare – LynxCare claims that 90% of healthcare data goes untapped when doctors make critical decisions about your life. Further, they claim the average person’s life could be extended by 4 years if that data can be converted into insights. Their team of clinicians and data scientists aims to do just that — building a data platform that aggregates disparate data sets and drive insight for better clinical outcomes. And it looks like their platform has fans: they are active in 9 hospitals, count Pharma companies like Pfizer as Partners, and grew 4x over the past year and now are at $800K ARR.
ADIAN – Adian is a B2B SaaS product that digitizes the complex agrochemical supply chain in order to improve the sales process between manufacturers and distributors. The company claims manufacturers reduce costs by 20% and increase sales by 4% by using their online framework. $1.5 Billion and 70,000 orders have gone through the platform to date.
Hardin Scientific – Hardin is building IoT-enabled, Smart Lab Equipment. The hardware becomes a gateway to become the hub for monitoring, controlling, and sharing scientific data across teams. They’ve closed over $1.5m in revenue, and raised $15m in equity and debt financing. One of their smart devices is being used to 3D print bio-tissues and human organs in space.
ZaiNar – This team of 5 Stanford grads — 3 PhD’s and 2 MBAs — joined up with the Co-Founder of BlueKai to build the world’s best time synchronization technology. ZaiNar claims their ability to wirelessly synchronize and distribute time between networked devices is a thousand times better than existing technologies. This enables them to locate RF-emitting devices (i.e. phones, cars, drones, & RFID) at long distances with sub-meter accuracy. Beyond location, this technology has applications across data transmission, 5G communications, and energy grids. ZaiNar has raised a $1.7 million seed from AME Cloud and Softbank, and has built an extensive patent portfolio.
SMART Brain Aging – This startup claims to reduce the onset of dementia by 2.25 years with software. They are the only company approved by Medicare to get reimbursed on a preventative basis for the treatment of dementia. In conjunction with Harvard University, they have developed 20,000 exercises that are clinically proven to reduce the onset of dementia and, they claim, help build neurotransmitters. The company works with 300 patients per week ($2.2 million annual revenue) and is building to a goal of helping 22,000 people in 24 months.
Phoneic – Phoneic believes the data trapped in voice calls from cellphones is a gold mine waiting to be unleashed. Their app records and transcribes cell phones conversations, and the company has built an integration layer to enterprise AI and CRM systems that traditionally didn’t have access to voice data. The team is led by the co-founder of 3jam, one of the first group SMS and virtual number companies, which was acquired by Skype in 2011. He is keenly aware of the power of virality — and like Skype, the use of Phoneic spreads its adoption. The company has already raised $800,000 in seed funding.
Arkose Labs – Whether or not you think Russia interfered with the 2016 election, it’s no secret that bots are having significant impact on society. Arkose Labs wants to fight fraud, without adding friction to legit users. Most fraud prevention platforms today focus on gathering info from the user and providing a probability score that the traffic is good or bad. This leaves companies with a difficult decision where they may be blocking revenue generating users. Arkose has a different approach, and uses a bilateral approach that doesn’t force this tradeoff. They claim to be the only solution to offer a 100% SLA on fraud prevention. Big companies like Singapore Airlines and Electronic Arts are customers. USVP led a $6 million investment into the company.

IBM has launched a software service that scans AI systems as they work in order to detect bias and provide explanations for the automated decisions being made — a degree of transparency that may be necessary for compliance purposes not just a company’s own due diligence.
The new trust and transparency system runs on the IBM cloud and works with models built from what IBM bills as a wide variety of popular machine learning frameworks and AI-build environments — including its own Watson tech, as well as Tensorflow, SparkML, AWS SageMaker, and AzureML.
It says the service can be customized to specific organizational needs via programming to take account of the “unique decision factors of any business workflow”.
The fully automated SaaS explains decision-making and detects bias in AI models at runtime — so as decisions are being made — which means it’s capturing “potentially unfair outcomes as they occur”, as IBM puts it.
It will also automatically recommend data to add to the model to help mitigate any bias that has been detected.
Explanations of AI decisions include showing which factors weighted the decision in one direction vs another; the confidence in the recommendation; and the factors behind that confidence.
IBM also says the software keeps records of the AI model’s accuracy, performance and fairness, along with the lineage of the AI systems — meaning they can be “easily traced and recalled for customer service, regulatory or compliance reasons”.
For one example on the compliance front, the EU’s GDPR privacy framework references automated decision making, and includes a right for people to be given detailed explanations of how algorithms work in certain scenarios — meaning businesses may need to be able to audit their AIs.
The IBM AI scanner tool provides a breakdown of automated decisions via visual dashboards — an approach it bills as reducing dependency on “specialized AI skills”.
However it is also intending its own professional services staff to work with businesses to use the new software service. So it will be both selling AI, ‘a fix’ for AI’s imperfections, and experts to help smooth any wrinkles when enterprises are trying to fix their AIs… Which suggests that while AI will indeed remove some jobs, automation will be busy creating other types of work.
Nor is IBM the first professional services firm to spot a business opportunity around AI bias. A few months ago Accenture outed a fairness tool for identifying and fixing unfair AIs.
So with a major push towards automation across multiple industries there also looks to be a pretty sizeable scramble to set up and sell services to patch any problems that arise as a result of increasing use of AI.
And, indeed, to encourage more businesses to feel confident about jumping in and automating more. (On that front IBM cites research it conducted which found that while 82% of enterprises are considering AI deployments, 60% fear liability issues and 63% lack the in-house talent to confidently manage the technology.)
In additional to launching its own (paid for) AI auditing tool, IBM says its research division will be open sourcing an AI bias detection and mitigation toolkit — with the aim of encouraging “global collaboration around addressing bias in AI”.
“IBM led the industry in establishing trust and transparency principles for the development of new AI technologies. It’s time to translate principles into practice,” said David Kenny, SVP of cognitive solutions at IBM, commenting in a statement. “We are giving new transparency and control to the businesses who use AI and face the most potential risk from any flawed decision making.”

In the 1990s when the web was young, companies like Yahoo, created directories of web pages to help make them more discoverable. Hacera wants to bring that same idea to blockchain, and today it announced the launch of the Hacera Network Registry.
CEO Jonathan Levi says that blockchains being established today risk being isolated because people simply can’t find them. If you have a project like the IBM -Maersk supply chain blockchain announced last month, how does an interested party like a supplier or customs authority find it and ask to participate? Up until the creation of this registry, there was no easy way to search for projects.
Early participants include heavy hitters like Microsoft, Hitachi, Huawei, IBM, SAP and Oracle, who are linking to projects being created on their platforms. The registry supports projects based on major digital ledger communities including Hyperledger, Quorum, Cosmos, Ethereum and Corda. The Hacera Network Registry is built on Hyperledger Fabric, and the code is open source. (Levi was Risk Manager for Hyperledger Fabric 1.0.)

While early sponsors of the project include IBM and Hyperledger Fabric, Levi stressed the network is open to all. Blockchain projects can create information pages, not unlike a personal LinkedIn page, and Hacera verifies the data before adding it to the registry. There are currently more than 70 networks in the registry, and Hacera is hoping this is just the beginning.
Jerry Cuomo, VP of blockchain technologies at IBM, says for blockchain to grow it will require a way to register, lookup, join and transact across a variety of blockchain solutions. “As the number of blockchain consortiums, networks and applications continues to grow we need a means to list them and make them known to the world, in order to unleash the power of blockchain,” Cuomo told TechCrunch. Hacera is solving that problem.
This is exactly the kind of underlying infrastructure that the blockchain requires to expand as a technology. Cuomo certainly recognizes this.”We realized from the start that you cannot do blockchain on your own; you need a vibrant community and ecosystem of like-minded innovators who share the vision of helping to transform the way companies conduct business in the global economy,” he said.
Hacera understands that every cloud vendor wants people using their blockchain service. Yet they also see that to move the technology forward, there need to be some standard ways of conducting business, and they want to provide that layer. Levi has a broader vision for the network beyond pure discoverability. He hopes eventually to provide the means to share data through the registry.

PagerDuty, the popular service that helps businesses monitor their tech stacks, manage incidents and alert engineers when things go sideways, today announced that it has raised a $90 million Series D round at a valuation of $1.3 billion. With this, PagerDuty, which was founded in 2009, has now raised well over $170 million.
The round was led by T. Rowe Price Associates and Wellington Management . Accel, Andreessen Horowitz and Bessemer Venture Partners participated. Given the leads in this round, chances are that PagerDuty is gearing up for an IPO.
“This capital infusion allows us to continue our investments in innovation that leverages artificial intelligence and machine learning, enabling us to help our customers transform their companies and delight their customers,” said Jennifer Tejada, CEO at PagerDuty in today’s announcement. “From a business standpoint, we can strengthen our investment in and development of our people, our most valuable asset, as we scale our operations globally. We’re well positioned to make the lives of digital workers better by elevating work to the outcomes that matter.”
Currently PagerDuty users include the likes of GE, Capital One, IBM, Spotify and virtually every other software company you’ve ever heard of. In total, more than 10,500 enterprises now use the service. While it’s best known for its alerting capabilities, PagerDuty has expanded well beyond that over the years, though it’s still a core part of its service. Earlier this year, for example, the company announced its new AIOps services that aim to help businesses reduce the amount of noisy and unnecessary alerts. I’m sure there’s a lot of engineers who are quite happy about that (and now sleep better).

Google today announced that it is providing the Cloud Native Computing Foundation (CNCF) with $9 million in Google Cloud credits to help further its work on the Kubernetes container orchestrator and that it is handing over operational control of the project to the community. These credits will be split over three years and are meant to cover the infrastructure costs of building, testing and distributing the Kubernetes software.
Why does this matter? Until now, Google hosted virtually all the cloud resources that supported the project, like its CI/CD testing infrastructure, container downloads and DNS services on its cloud. But Google is now taking a step back. With the Kubernetes community reaching a state of maturity, Google is transferring all of this to the community.
Between the testing infrastructure and hosting container downloads, the Kubernetes project regularly runs more than 150,000 containers on 5,000 virtual machines, so the cost of running these systems quickly adds up. The Kubernetes container registry has served almost 130 million downloads since the launch of the project.
It’s also worth noting that the CNCF now includes a wide range of members that typically compete with each other. We’re talking Alibaba Cloud, AWS, Microsoft Azure, Google Cloud, IBM Cloud, Oracle, SAP and VMware, for example. All of these profit from the work of the CNCF and the Kubernetes community. Google doesn’t say so outright, but it’s fair to assume that it wanted others to shoulder some of the burdens of running the Kubernetes infrastructure, too. Similarly, some of the members of the community surely didn’t want to be so closely tied to Google’s infrastructure, either.
“By sharing the operational responsibilities for Kubernetes with contributors to the project, we look forward to seeing the new ideas and efficiencies that all Kubernetes contributors bring to the project operations,” Google Kubernetes Engine product manager William Deniss writes in today’s announcement. He also notes that a number of Google’s will still be involved in running the Kubernetes infrastructure.
“Google’s significant financial donation to the Kubernetes community will help ensure that the project’s constant pace of innovation and broad adoption continue unabated,” said Dan Kohn, the executive director of the CNCF. “We’re thrilled to see Google Cloud transfer management of the Kubernetes testing and infrastructure projects into contributors’ hands — making the project not just open source, but openly managed, by an open community.”
It’s unclear whether the project plans to take some of the Google-hosted infrastructure and move it to another cloud, but it could definitely do so — and other cloud providers could step up and offer similar credits, too.

Istio, the service mesh for microservices from Google, IBM, Lyft, Red Hat and many other players in the open-source community, launched version 1.0 of its tools today.
If you’re not into service meshes, that’s understandable. Few people are. But Istio is probably one of the most important new open-source projects out there right now. It sits at the intersection of a number of industry trends, like containers, microservices and serverless computing, and makes it easier for enterprises to embrace them. Istio now has more than 200 contributors and the code has seen more than 4,000 check-ins since the launch of version 0.1.
Istio, at its core, handles the routing, load balancing, flow control and security needs of microservices. It sits on top of existing distributed applications and basically helps them talk to each other securely, while also providing logging, telemetry and the necessary policies that keep things under control (and secure). It also features support for canary releases, which allow developers to test updates with a few users before launching them to a wider audience, something that Google and other webscale companies have long done internally.
“In the area of microservices, things are moving so quickly,” Google product manager Jennifer Lin told me. “And with the success of Kubernetes and the abstraction around container orchestration, Istio was formed as an open-source project to really take the next step in terms of a substrate for microservice development as well as a path for VM-based workloads to move into more of a service management layer. So it’s really focused around the right level of abstractions for services and creating a consistent environment for managing that.”
Even before the 1.0 release, a number of companies already adopted Istio in production, including the likes of eBay and Auto Trader UK. Lin argues that this is a sign that Istio solves a problem that a lot of businesses are facing today as they adopt microservices. “A number of more sophisticated customers tried to build their own service management layer and while we hadn’t yet declared 1.0, we hard a number of customers — including a surprising number of large enterprise customer — say, ‘you know, even though you’re not 1.0, I’m very comfortable putting this in production because what I’m comparing it to is much more raw.’”
IBM Fellow and VP of Cloud Jason McGee agrees with this and notes that “our mission since Istio’s launch has been to enable everyone to succeed with microservices, especially in the enterprise. This is why we’ve focused the community around improving security and scale, and heavily leaned our contributions on what we’ve learned from building agile cloud architectures for companies of all sizes.”
A lot of the large cloud players now support Istio directly, too. IBM supports it on top of its Kubernetes Service, for example, and Google even announced a managed Istio service for its Google Cloud users, as well as some additional open-source tooling for serverless applications built on top of Kubernetes and Istio.
Two names missing from today’s party are Microsoft and Amazon. I think that’ll change over time, though, assuming the project keeps its momentum.
Istio also isn’t part of any major open-source foundation yet. The Cloud Native Computing Foundation (CNCF), the home of Kubernetes, is backing linkerd, a project that isn’t all that dissimilar from Istio. Once a 1.0 release of these kinds of projects rolls around, the maintainers often start looking for a foundation that can shepherd the development of the project over time. I’m guessing it’s only a matter of time before we hear more about where Istio will land.

The dream of a startup founder can often be summarized by the following well-intentioned, and mostly delusional, quote: “We’ll raise a few rounds and in a few years we’ll IPO on Nasdaq.”
But a more likely scenario looks something like this:
You invest a few years of hard work to build something of value. One day you receive an acquisition offer out of the blue. You’re elated. And you’re not prepared. You drop everything to focus on this opportunity. Exclusive due diligence starts. Your company is a mess (IP, contracts, burn). Days become weeks; weeks become months. You’ve neglected business and fundraising. You’re running out of money. M&A is now your one and only option. The buyer says they found a bunch of cockroaches in the walls and drops the price. Now what?
Sound unlikely?
This is still a favorable situation: You had an offer! Think about how much time you invested in your various funding rounds. The hundreds of names and Google spreadsheet or Streak-powered quasi-CRM process.
Have you spent even a fraction of that on understanding exit paths? If you’d rather not live the situation described above, read along.
Investors live by exits, but many founders keep dreaming of unicornization and avoid the “E-word” until it’s too late. Yet, in 2016, 97 percent of exits were M&As. And most happened before Series B.

Exits matter because that’s when you, your team and your investors get paid. Oddly enough, and to use a chess metaphor, we hear a lot about the “opening game” (lean startup) and the “mid-game” (growth), but very little about this “end game.”
As a result, founders miss opportunities or leave money on the table. This is a shame. Our fund has more than 700 companies in portfolio. We want the best possible exit for each of them. And fortune favors the prepared! Now, how to get 700 exits (and counting)?
To explore the topic, we organized a series of Master Classes tapping corporate buyers, bankers, investors, lawyers and startup CEOs with M&A or IPO experience in San Francisco. It was a group that included the founders of Guitar Hero — bought by Activision; JUMP Bikes — a SOSV portfolio company bought by Uber, Ubiquisys — bought by Cisco and Withings — bought by Nokia. Each one for hundreds of millions.
Their observations can be summarized below.
“Founders must be aware of what contributes to an exit. This means understanding partnerships and how they are formed in the business space the entrepreneur is working in,” said one Master Class participant.
As founders, you build your product, your company and… optionality. You need to understand the options open to your company, and take steps to enable them.
The most likely one is an acquisition, but there are others like IPO (including small cap), RTO, SBO, LBO, Equity Crowdfunding and even ICO.
“Exit is not a goal per se, but as a CEO it is something you should think about as early in your cycle as possible, while being business-focused,” said the London-based investor Frederic Rombaut, of Seraphim Capital.
Indeed, most participants said that exits should always be on the chief executive’s agenda, no matter how early in the process. “Exits should be on the CEO agenda. Not front and center, but on the agenda. M&A is a by-product of a great business and targeted BD. IPOs are always an option once you’ve built significant cashflow forecasting.”
It’s important to ask questions like: How many “strategic engagements” with potential buyers have you had this month? Is your message and value clear in their eyes? Have you considered an acquisition track in parallel to a fundraise?

It doesn’t stop there:
One thing is sure: The time to exit is not when you’re running out of money.
Unicorn or not, the most likely exit is an acquisition.
As George Patterson, managing director at HSBC in New York said, “Good tech companies are bought, not sold. The question is thus: how to get bought?”
Patterson says it’s important to understand how mergers and acquisitions actually work; how to prepare a startup for an exit; and how to develop a “feel” for the market you’re exiting through and into.
Hearing from corp dev veterans from Cisco, Logitech, Dassault and IBM, a few key ideas emerged:

How corporates find you
Corporates find deals via the development of partnerships, investment (CVC), their business units, corp dev research, media and investor connections.
Asked about the best approach, Todd Neville, manager of Corporate Business Development and Strategy at IBM (who gave the most detailed description of the corp dev process), said, “Do something cool to one of the IBM customers. If they rave about even a POC, we’re interested.”
In other words, business development is corporate development.
Get the house in order
Buyers typically want to know three things:
For IP, they will check your contracts (staff and contractors), and run some automated code analysis for proprietary code and open source use. They will evaluate potential IP infringement. No point buying you if you end up costing more in lawsuits!
For your team skills: Sitting down with your engineers will tell them plenty enough without understanding the details of this or that algorithm. The last thing a corporate wants is to be accused of stealing!
Lawyers engaged early can help. The later the clean-up, the more costly and painful.
Develop a feel for your “market”
Develop relationships and create champions within corporates. It will help promote your deal when the time comes, and will let you keep your finger on the pulse of corporate strategy to time your moves.
Do you read the earning calls of Cisco or IBM (or others relevant to you)? This is where strategies are presented. Are your keywords coming up there or in their press releases?
Chris Gilbert, former CEO of Ubiquisys (sold to Cisco for more than $300 million) was very deliberate in planning his exit.
“Selling starts on day one and is a leadership-only function — work out who will be your buyer. Only the CEO can do this. Constantly articulate why a company should buy you,” Gilbert said. Bring clear messages into the acquiring company so it can be presented upwards: give them the presentation you would like them to show their boss! When the time is right, force decisions through competition. If you know they have to buy you, your starting position is strong.”
The dark art of price discovery
There are dozens of formulas (from DCF to comparables) to evaluate a deal — which also means none is “correct.” What matters is: How much would you sell for, and how much is the buyer ready to pay?

Gilbert, at Ubiquisys, described how close interactions with his banker helped drive the price up among the bidders assembled.
Just like buyers, we meet bankers and lawyers too rarely at startup events, but there is much to learn with them. They make deals happen, avoid value erosion and optimize price. They often also make introductions before you engage them, to build goodwill and earn your business.
And if you worry about fees, the right banker handsomely pays for itself by finding more bidders and playing “bad cop” for you, avoiding direct confrontation with your future employer. Do you want a slice of the watermelon or the whole grape?
When asked about what happens after an M&A or IPO, buyers said they generally hoped the founders would stay with them for many years. Often using re-vesting, earn-outs or shares of the acquiring company to incentivize them. Neville, from IBM, mentioned a security company they acquired whose founder is now the head of one of the largest IBM divisions.
In the case of IPOs, supposedly the ultimate “exit,” any block of shares sold by founders would face extreme scrutiny and might cause a price drop.
So who’s exiting during those deals? Investors (and not always).
Eventually, if the average age of a startup at exit is 8-10 years, the active duty period of founders (if not replaced in the meantime) extends even more. Better love the problem you’re solving, and your customers!

It’s not enough in this day and age that we have to deal with fake news, we also have to deal with fake prescription drugs, fake luxury goods, and fake Renaissance-era paintings. Sometimes all at once! IBM’s Verifier is a gadget and platform made (naturally) to instantly verify that something is what it claims to be, by inspecting it at a microscopic level.
Essentially you stick a little thing on your phone’s camera, open the app, and put the sensor against what you’re trying to verify, be it a generic antidepressant or an ore sample. By combining microscopy, spectroscopy, and a little bit of AI, the Verifier compares what it sees to a known version of the item and tells you whether they’re the same.
The key component in this process is an “optical element” that sits in front of the camera (it can be anything that takes a decent image) amounting to a specialized hyper-macro lens. It allows the camera to detect features as small as a micron — for comparison, a human hair is usually a few dozen microns wide.
At the micron level there are patterns and optical characteristics that aren’t visible to the human eye, like precisely which wavelengths of light it reflects. The quality of a weave, the number of flaws in a gem, the mixture of metals in an alloy… all stuff you or I would miss, but a machine learning system trained on such examples will pick out instantly.
For instance a counterfeit pill, although orange and smooth and imprinted just like a real one if one were to just look at it, will likely appear totally different at the micro level: textures and structures with a very distinct pattern, or at least distinct from the real thing — not to mention a spectral signature that’s probably way different. There’s also no reason it can’t be used on things like expensive wines or oils, contaminated water, currency, and plenty of other items.
IBM was eager to highlight the AI element, which is trained on the various patterns and differentiates between them, though as far as I can tell it’s a pretty straightforward classification task. I’m more impressed by the lens they put together that can resolve at a micron level with so little distortion and not exclude or distort the colors too much. It even works on multiple phones — you don’t have to have this or that model.
The first application IBM is announcing for its Verifier is as a part of the diamond trade, which is of course known for fetishizing the stones and their uniqueness, and also establishing elaborate supply trains to ensure product is carefully controlled. The Verifier will be used as an aide for grading stones, not on its own but as a tool for human checkers; it’s a partnership with the Gemological Institute of America, which will test integrating the tool into its own workflow.
By imaging the stone from several angles, the individual identity of the diamond can be recorded and tracked as well, so that its provenance and trail through the industry can be tracked over the years. Here IBM imagines blockchain will be useful, which is possible but not exactly a given.
It’ll be a while before you can have one of your own, but here’s hoping this type of tech becomes popular enough that you can check the quality or makeup of something at least without having to visit some lab.
